Supplementary Terms and Conditions for Affiliate Marketing
Effective Date: April 16, 2025. These Terms apply to all members participating in the ICUANUTY Affiliate Marketing Program. The rights and obligations of both parties shall be subject to the content of this Agreement. Participation is deemed to be an agreement to all terms.
Definition Terms
"Affiliate Member" refers to an individual or entity that has submitted an application through the official channels of ICUANUTY and passed the review, and is eligible to promote ICUANUTY products or services. "We" or "ICUANUTY" refers to the ICUANUTY brand and its affiliated companies. "Effective Sales" means that a user places an order through the exclusive link, discount code or other tracking method provided by the Affiliate Member, and the order has not been refunded or cancelled within 30 days.
Participation Eligibility
Affiliate members must meet the following conditions to participate in the program: be over 18 years old (or the legal age of majority in the jurisdiction where they are located); must not be an employee of ICUANUTY or their immediate family members; must not register an account using false information. Any promotional activities that violate fair competition or laws and regulations are prohibited, including but not limited to inducing clicks, false propaganda, spam, hijacking other people's traffic, and using malware or automated tools to forge orders. ICUANUTY reserves the right to reject applications or terminate cooperation without giving reasons.
Commission Policy
The commission is calculated based on the actual payment amount of valid sales (excluding taxes, shipping costs, discounts and refunds), and the specific ratio is XX% of the order amount. The commission may be adjusted due to product categories or promotional activities, and will be notified by email or affiliate platform before the adjustment. The validity period of commission tracking is 30 days after the user clicks the affiliate link (based on the records of cookies or dedicated tracking systems), and overdue orders are not included in the commission. The commission must be paid every 7 days after the minimum payment threshold (US$100) is reached. The payment methods include PayPal, bank transfer, etc. The cross-border handling fees generated are borne by the affiliate. If the order is cancelled due to return, fraud (such as self-purchase, fake account), payment failure or violation of terms, the relevant commission will be deemed invalid.
Promotional Specifications
The promotional content must comply with the following rules: ICUANUTY brand trademarks, logos or design materials must not be tampered with. All materials must be obtained from the official alliance platform or modified with written authorization; the promotion page must clearly mark the disclaimer "This is an ICUANUTY alliance promotion link"; it is prohibited to display competitive product information on the same page while promoting ICUANUTY; it is prohibited to use pop-up ads, forced jumps and other methods that interfere with user experience.
Data and Privacy
Alliance members must comply with data protection regulations (such as EU GDPR, US CCPA, etc.) and must not illegally collect, store or share user data. ICUANUTY will provide dedicated tracking tools to record the promotion effect. Alliance members must not tamper with data or increase traffic through technical means. We have the right to review the source of traffic and the authenticity of orders. If anomalies are found (such as concentrated orders from the same IP, robot traffic, etc.), we have the right to cancel the commission and terminate the cooperation.
Intellectual Property
ICUANUTY reserves all intellectual property rights such as brand names, trademarks, website content, product images, etc. Alliance members only obtain non-exclusive authorization during the cooperation period for compliant promotion. All brand materials must be stopped immediately after the cooperation is terminated. Without written permission, you may not register domain names, social media accounts or trademarks related to "ICUANUTY".
Termination Clauses
If the affiliate violates this agreement (such as false advertising, data falsification, infringement of intellectual property rights), ICUANUTY has the right to immediately terminate the cooperation and freeze unpaid commissions, and reserves the right to pursue legal liability.
Disclaimer
ICUANUTY is not responsible for the promotion effect, income or third-party behavior (such as user complaints, platform blocking) of affiliates. Affiliates are responsible for their own promotion costs, tax declarations and compliance risks. This agreement does not constitute an employment relationship between the two parties, and affiliates are independent entities.
Legal jurisdiction and dispute resolution
This agreement is governed by law. If a dispute arises between the two parties, it should be resolved through friendly negotiation first; if the negotiation fails, it shall be submitted to an arbitration institution or court
